Welcome to Piggyback Trader. These Terms of Service ("Terms") govern your access to and use of the Piggyback Trader website, applications, alerts, dashboards, APIs, and related services (collectively, the "Service"). The Service is operated by Piggyback Trader LLC, a Wyoming limited liability company doing business from Houston, Texas ("we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements. The Service is intended for users in jurisdictions where prediction markets and speculative financial data services are lawful. It is your responsibility to determine whether the Service is legal in your jurisdiction.

2. The Service — what it is and what it isn't

Piggyback Trader provides real-time alerts and dashboards based on publicly available market data from third-party sources, including but not limited to Polymarket, Kalshi, cryptocurrency exchanges, and equity market data providers. The Service surfaces size-driven trading events (such as order-book sweeps, large block prints, and concentrated position changes) that may or may not precede news events.

The Service is not, and does not provide:

  • Investment advice, financial advice, legal advice, tax advice, or trading recommendations
  • Brokerage, custody, execution, or clearing services
  • A managed portfolio, discretionary trading account, or investment vehicle
  • Any guarantee that alerts will be timely, accurate, complete, or profitable
  • Any solicitation to buy, sell, hold, or trade any security, cryptocurrency, prediction market contract, or other asset

3. Accounts and access

3.1 Account creation

You must register an account to use most features. You agree to provide accurate, current, and complete information, and to keep that information updated.

3.2 Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@piggyback-trader.com if you suspect unauthorized use.

3.3 One account per person

Each user may hold only one account. Creating multiple accounts to circumvent limits, evade billing, or abuse promotional pricing (including the Founder's Circle discount) is grounds for immediate termination.

3.4 Beta and invite-code users

Beta access is granted at our sole discretion and may be revoked at any time. Founder's Circle pricing and other promotional discounts are subject to their own terms disclosed at signup and may be capped, expire, or be modified without prior notice, except for pricing you have already been charged.

4. Subscription plans and billing

4.1 Plans

The Service offers Free, Trader, Pro, and Team subscription tiers, each with different feature sets, alert caps, and pricing described on our pricing page. We may change plan features, pricing, or availability with reasonable notice for existing subscribers.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis by our payment processor, Stripe, Inc. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel.

4.3 Cancellation

You may cancel at any time via the billing portal in your account settings. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods, except where required by law.

[LAWYER REVIEW] Confirm the "no refunds" clause is enforceable in Texas and Wyoming, and check whether any state (e.g., California, New York) requires pro-rata refunds for canceled subscriptions.

4.4 Price changes

We may change subscription prices with at least 30 days' notice. If you do not agree to the new price, you may cancel before the new price takes effect.

4.5 Taxes

Prices do not include applicable sales, use, VAT, or other taxes, which are your responsibility unless we are legally required to collect them.

4.6 Failed payments

If a payment fails, we may suspend or downgrade your access after a grace period. Access is restored when payment succeeds.

5. Acceptable use

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to the Service, our infrastructure, or other users' accounts
  • Reverse-engineer, decompile, or extract the source code, models, or proprietary logic of the Service
  • Scrape, harvest, or otherwise collect data from the Service using automated means, except through APIs we explicitly provide for that purpose
  • Resell, redistribute, or sublicense the Service or its data outputs without a written commercial agreement
  • Use the Service to harass, defame, or harm any person
  • Interfere with, disrupt, or overload the Service, including via denial-of-service attacks or excessive API calls
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the Service to trade on, or facilitate trading on, material non-public information (insider trading)

[LAWYER REVIEW] The insider-trading clause is included to reinforce that WE are not a vector for insider activity, following the widely reported Van Dyke/Polymarket/Venezuela case. Confirm this clause's phrasing does not create an implied duty for us to monitor user trading behavior.

Violation of this section may result in immediate account termination without refund.

6. Third-party data and services

The Service relies on data from third parties, including Polymarket, Kalshi, Coinbase, Alpaca, Polygon.io, Stripe, and others. We do not control, endorse, or guarantee the accuracy, availability, or timeliness of third-party data or services. Their terms and policies apply to your use of their platforms, and outages or errors in third-party services may cause the Service to be delayed, incomplete, or unavailable.

7. Intellectual property

7.1 Our IP

All content, features, functionality, code, designs, trademarks, and logos of the Service are the exclusive property of Piggyback Trader LLC and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

7.2 Your license to us

By submitting feedback, suggestions, or bug reports, you grant us a perpetual, worldwide, royalty-free, sublicensable license to use, modify, and incorporate them into the Service.

7.3 Your access license

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business use, subject to these Terms.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that alerts will be accurate, timely, uninterrupted, complete, or profitable.

Prediction markets, cryptocurrencies, equities, and derivatives are volatile and speculative. You may lose money. Alerts from the Service are informational only and are not a recommendation to take any action. Any trading, betting, or financial decision you make is yours alone.

[LAWYER REVIEW] This is the single most important clause. Verify it survives a "conscionability" challenge in consumer-friendly jurisdictions and consider bolding or all-caps enforcement.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Piggyback Trader LLC, its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, or trading gains, arising out of or related to your use of the Service, whether based on warranty, contract, tort, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or related to the Service shall not exceed the greater of (a) $100 USD or (b) the total amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

[LAWYER REVIEW] The $100 floor and 12-month ceiling are common but not universally enforceable. Some states (e.g., California) may void this. Attorney should stress-test against Texas and Wyoming law specifically.

10. Indemnification

You agree to defend, indemnify, and hold harmless Piggyback Trader LLC and its officers, employees, agents, and affiliates from any claims, damages, obligations, losses, liabilities, costs, or debts, and expenses (including attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, including any intellectual property or privacy right, or (d) any trading, betting, or financial decision you make based in whole or in part on the Service.

11. Termination

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, or if required by law. You may terminate your account at any time by canceling your subscription and requesting deletion via support@piggyback-trader.com.

Sections that by their nature should survive termination — including Sections 7 (Intellectual property), 8 (Disclaimers), 9 (Limitation of liability), 10 (Indemnification), 12 (Governing law), and 13 (Dispute resolution) — will survive.

12. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. To the extent Wyoming law does not apply to a specific claim, the laws of the State of Texas will apply as a secondary jurisdiction.

[LAWYER REVIEW] Verify Wyoming-first governing law makes sense given the LLC's Wyoming registration + Houston operating location. Some attorneys prefer Delaware for LLC governing law even when the entity is Wyoming-registered.

13. Dispute resolution and arbitration

13.1 Informal resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting support@piggyback-trader.com. We will try to resolve the dispute within 60 days.

13.2 Binding arbitration

If informal resolution fails, any dispute arising out of or related to these Terms or the Service shall be resolved by binding arbitration, administered by JAMS under its Streamlined Arbitration Rules, in Cheyenne, Wyoming or by videoconference. The arbitrator's decision is final and enforceable in any court of competent jurisdiction.

13.3 Class action waiver

You and Piggyback Trader LLC agree that any dispute will be resolved on an individual basis, and not as a class, collective, or representative action. If this class action waiver is found unenforceable, then the entire arbitration provision is void.

13.4 Opt-out

You may opt out of arbitration by sending written notice to Piggyback Trader LLC, Houston, Texas, within 30 days of first accepting these Terms.

[LAWYER REVIEW] JAMS is one option; alternatives include AAA (American Arbitration Association) — pricing and rules differ. Verify class-action waiver is enforceable in all US jurisdictions post-recent Supreme Court rulings.

14. Changes to these Terms

We may update these Terms at any time. If we make material changes, we will notify you by email or in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Miscellaneous

15.1 Entire agreement

These Terms and any documents incorporated by reference constitute the entire agreement between you and us regarding the Service.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

15.3 No waiver

Our failure to enforce any right or provision does not waive that right or provision.

15.4 Assignment

You may not assign these Terms without our written consent. We may assign them without restriction.

15.5 Force majeure

Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government action, or internet outages.

15.6 Notices

Notices to us should be sent to support@piggyback-trader.com, with a copy to Piggyback Trader LLC, Houston, Texas. Notices to you may be sent via email to the address on your account or by in-app notification.
